Gateway Terms and Conditions

Welcome to VestraPay Nigeria Limited ("VestraPay," "we," "our," or "us"). These Gateway Terms and Conditions ("Terms") govern your access and use of our payment gateway services, including any content, functionality, and services offered on or through our platform (collectively, the "Services").

By using our Services, you ("User" or "you") agree to comply with and be bound by these Terms. Please read them carefully before accessing or using our Services.

1. Acceptance of Terms

By accessing or using our Services, you accept and agree to these Terms and any other policies or guidelines that we may establish from time to time. If you do not agree with any part of these Terms, you may not use our Services.

2. Eligibility

To use the Services, you must:

• Be at least 18 years of age.
• Provide accurate and complete registration information.
• Have the legal capacity to enter into a binding contract in Nigeria.

3. Account Registration and Security

• To use our payment gateway, you must create an account and provide accurate and up-to-date information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree to immediately notify VestraPay of any unauthorized use of your account or any other security breach.

4. Scope of Services

VestraPay provides payment gateway services to enable you to process payments from customers in Nigeria or abroad through various payment methods. Our Services include but are not limited to:

• Facilitating secure payment transactions.
• Providing transaction data for reconciliation.
• Supporting multiple payment channels, including credit/debit cards, mobile payments, and bank transfers.

5. Fees and Payment

• VestraPay charges fees for using the Services. Fees may include transaction processing fees, monthly service fees, and any other charges as specified in your service agreement or our pricing schedule.
• You are responsible for any fees, taxes, and other charges imposed by your financial institution or payment provider in connection with your use of our Services.
• VestraPay reserves the right to modify its fees at any time, with notice to you.

6. User Obligations

As a User, you agree to:

• Comply with all applicable laws, regulations, and industry standards.
• Use the Services only for lawful purposes and not for any fraudulent, unlawful, or abusive activities.
• Provide accurate and complete payment details and ensure that any customer payments are lawful and authorized.

7. Prohibited Uses

You may not use our Services to:

• Facilitate illegal transactions, including money laundering, terrorism financing, or fraudulent activity.
• Engage in transactions related to prohibited goods or services, such as illegal drugs, firearms, or counterfeit goods.
• Violate the rights of third parties, including intellectual property rights, privacy, or other proprietary rights.

8. Data Protection and Privacy

• VestraPay collects and processes personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable laws. By using our Services, you consent to the collection, use, and disclosure of your data as described in our Privacy Policy.
• You are responsible for ensuring that your customers' personal data is collected, stored, and processed in compliance with applicable data protection laws.

9. Transaction Security

• VestraPay uses industry-standard encryption and security protocols to protect transactions. However, we cannot guarantee the security of information transmitted over the internet.
• You agree to implement appropriate security measures to protect your customers' data and to promptly notify VestraPay of any security breaches affecting the Services.

10. Limitation of Liability

• VestraPay is not liable for any direct, indirect, incidental, or consequential damages resulting from your use or inability to use the Services, including but not limited to loss of profits, revenue, or data.
• Our total liability to you for any claim arising out of or in connection with the Services shall not exceed the amount of fees paid by you to VestraPay in the 12 months preceding the claim.

11. Indemnity

You agree to indemnify, defend, and hold VestraPay harmless from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Services, violation of these Terms, or infringement of any rights of a third party.

12. Service Availability

• VestraPay strives to ensure the availability of its Services at all times but does not guarantee uninterrupted access. We may suspend, limit, or discontinue the Services without prior notice for maintenance, upgrades, or other operational reasons.
• VestraPay is not responsible for any downtime or interruptions caused by third-party service providers, including payment processors or financial institutions.

13. Termination

• VestraPay reserves the right to terminate or suspend your access to the Services at any time, without notice, for violation of these Terms, illegal activities, or other reasons in our sole discretion.
• You may terminate your account at any time by notifying VestraPay. Upon termination, you must cease all use of the Services and settle any outstanding fees.

14. Amendments

VestraPay reserves the right to modify these Terms at any time. Any changes will be communicated to you via email or through the platform. Continued use of the Services after such modifications will constitute your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in Nigeria.

16. Miscellaneous

These Terms constitute the entire agreement between you and VestraPay regarding the Services and supersede any prior agreements.

• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• You may not assign or transfer your rights or obligations under these Terms without VestraPay’s prior written consent.
